Delaware vs Wyoming LLC for Non US Founders in 2026 — Which One Should You Choose

If you are a non US founder and you want to form a US LLC, you will hear two names again and again. Delaware and Wyoming. Everyone says different things. Some say Delaware is best. Some say Wyoming is cheaper.

So which one is actually good for you in 2026.

Let me explain in simple words.

What is same in both.

Both Delaware and Wyoming give you a US LLC. Both give you limited liability. Both are accepted by Mercury, Wise, Stripe and PayPal. Both let you form LLC without living in US and without SSN. So on paper both look same.

The difference comes later. In yearly fees, in privacy, and in how easy your life will be.

Delaware. Why people choose it.

Delaware is famous. Big companies like Google and Amazon are there. Investors know Delaware. If you plan to raise money from US investors or you want to convert your LLC to C Corp later, Delaware makes sense.

But Delaware has some problems for small founders.

First, yearly cost is high. You pay 300 dollars every year as franchise tax. Even if you make zero sales, you still pay.

Second, your name is public. Anyone can search Delaware site and see who owns the LLC. No privacy.

Third, Delaware asks for more paperwork and you need to be careful with compliance.

So Delaware is good if you want funding and you want to look big. But for most Shopify sellers, dropshippers, small agencies, it is expensive.

Wyoming. Why most non US founders choose it now.

Wyoming is simple, cheap and private.

Yearly cost is only 60 dollars for annual report. Some years it is even 50 to 60 dollars. Compare that to 300 dollars in Delaware. You save 240 dollars every year.

Privacy is strong. Wyoming does not put your name on public record. Your name stays private. For many founders outside US, this matters.

No state income tax in Wyoming. That does not mean you pay zero federal tax, but you avoid extra state tax.

Banks and Stripe love Wyoming LLCs. Mercury approves Wyoming LLCs very fast. Stripe also accepts it without issues if your documents match.

For 90 percent of non US founders doing ecommerce, Amazon, Shopify, or agency business, Wyoming is better and cheaper.

So which one should you choose in 2026.

Ask yourself one question. Do you want investment from US investors in next 12 months.

If yes, choose Delaware.

If your answer is no, and you want low fees, privacy, and easy banking, choose Wyoming.

Common mistake to avoid.

Do not choose state because someone on YouTube said so. Choose based on your plan. Also do not form LLC in California or New York as non resident. Fees are very high there.

And one more thing. Whatever state you choose, keep your LLC name same everywhere. In EIN letter, in bank account, in Stripe. If name does not match, Stripe will block you. We already covered that in previous blog.
